ChainOpera AI Airdrop Terms

1. Acceptance of Airdrop Terms

These Airdrop Terms and Conditions (“Airdrop Terms”) govern your participation in the distribution of $COAI tokens (“Tokens”) made available by ChainOpera Foundation, a foundation company incorporated under the laws of the Cayman Islands (“ChainOpera,” “we,” or “us”).

By:

  • clicking “I Accept”;
  • connecting a blockchain wallet to the Platform;
  • completing eligibility criteria or participating in Airdrop activities; or
  • receiving or claiming any Tokens under this program,

you represent and warrant that you have read, understood, and agreed to be legally bound by these Airdrop Terms. If you do not meet the eligibility requirements, or do not accept these Terms in full, you are not permitted to participate in the Airdrop or receive any Tokens.

2. Legal Nature and Discretion

Participation in the Airdrop does not create any contractual, investment, partnership, fiduciary, or employment relationship between you and ChainOpera. The Airdrop is made on a discretionary, voluntary, and promotional basis. ChainOpera may modify, suspend, claw back, disqualify, or cancel the Airdrop (in whole or in part) at any time, without prior notice.

3. Assumption of Risk and Limitation of Liability

You expressly acknowledge the inherent risks associated with digital assets, decentralized protocols, and smart contract–based distribution, including but not limited to: Token volatility and lack of liquidity;

Loss of access to Tokens due to wallet misconfiguration, private key loss, or compromised credentials;

Ineligibility due to jurisdiction, bot use, fraudulent actions, Sybil attacks, or failure to meet program criteria;

Regulatory changes or enforcement actions affecting your ability to use or trade Tokens;

Errors, vulnerabilities, or delays in smart contracts or blockchain networks.

To the maximum extent permitted by law, ChainOpera disclaims all liability for claims, damages, or losses arising from: your participation in the Airdrop;

your reliance on or receipt of Tokens;

your use, storage, or transfer of Tokens after distribution.

4. Airdrop Program

These Terms govern your participation in ChainOpera’s promotional distribution of $COAI tokens (the “Airdrop”). The Airdrop is non-recurring, discretionary, and limited in scope. Structure, criteria, duration, and eligibility parameters may change at ChainOpera’s sole discretion.

5. Program Timing

The start date, end date, duration, and phases of the Airdrop will be determined solely by ChainOpera. The program may be amended, extended, paused, or terminated without notice.

6. Distribution Logic

Participation does not guarantee receipt of Tokens.

Allocation criteria, snapshot methodology, and eligibility review are determined exclusively by ChainOpera, using internal logic, third-party tools, or manual review.

Preliminary verification or “registration windows” may be implemented. Completion does not guarantee entitlement to claim Tokens.

7. Eligibility

7.1 Participant Requirements

By joining, you represent and warrant that: You are at least 18 years of age (or legal majority in your jurisdiction);

You are legally permitted to receive and hold Tokens;

You are not subject to sanctions, restrictions, or prohibitions that disqualify participation;

Your participation does not violate any applicable laws.

If acting on behalf of a legal entity, you confirm authority to bind that entity to these Terms.

7.2 Jurisdictional Restrictions

The Airdrop is not available to persons or entities located in, incorporated in, or otherwise associated with the following jurisdictions: Countries/Territories: Bangladesh, Canada, Cuba, Iran, Mainland China, the Netherlands, New Zealand, Singapore, Syria, the United States of America, American Samoa, Guam, Puerto Rico, the Northern Mariana Islands, and the U.S. Virgin Islands.

Regions: Crimea, Donetsk, and Luhansk regions of Ukraine.

Other: The Democratic People’s Republic of Korea (North Korea) and Russia.

You must not attempt to bypass these restrictions through technical means, including VPNs, proxy servers, Tor, or other obfuscation tools. Any attempt may result in disqualification, forfeiture of Tokens, and permanent exclusion.

8. Compliance

By participating, you confirm compliance with: Anti-money laundering (AML) and counter-terrorist financing (CTF) laws;

Economic sanctions and export control regulations;

Any KYC/AML verification procedures requested by ChainOpera.

9. Payment, Gas Fees, and Taxes

Participation requires no payment or consideration to ChainOpera. Tokens are promotional and not an “issuance” under Cayman Islands law.

You are solely responsible for blockchain transaction (“Gas”) fees required to claim Tokens.

You are solely responsible for tax obligations related to Tokens received (income, capital gains, VAT, etc.). ChainOpera does not provide tax advice.

10. Indemnification

You agree to indemnify, defend, and hold harmless ChainOpera, its affiliates, officers, employees, and agents against any claims, losses, or liabilities arising from: your participation in the Airdrop;

breach of these Terms;

violation of laws or third-party rights;

fraud, misconduct, or misuse of Tokens.

11. Warranty Disclaimer

The Airdrop, Tokens, and related services are provided “as is” and “as available” with no warranties of any kind, including merchantability, fitness for purpose, title, or non-infringement.

12. No Fiduciary Duties

Your participation does not create any fiduciary, advisory, or agency relationship with ChainOpera. ChainOpera owes no fiduciary duty beyond obligations expressly stated in these Terms.

13. Miscellaneous

These Terms constitute the entire agreement governing the Airdrop.

You may not assign rights or obligations without prior consent; ChainOpera may assign freely.

Failure to enforce any provision is not a waiver.

If any provision is invalid, the remainder remains enforceable.

Headings are for reference only.

14. Governing Law

These Terms are governed by the laws of the Cayman Islands. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Cayman Islands.
